SQUAT End-User License Agreement
The license to the SQUAT software and methodology, and the allocation of responsibility for AI outcomes.

This EULA covers the license to the SQUAT software and methodology, and the allocation of responsibility for AI outcomes. The service relationship — accounts, billing, termination, disputes — is in the Terms of Service. Data practices are in the Privacy Policy.
1. Parties and relationship to the Terms
This End-User License Agreement ("EULA") is between you (the "Customer," "you") and Elucidate Ventures LLC, a Pennsylvania limited liability company doing business as Elucidate Digital ("Elucidate," "we," "us"). It governs your licensed use of the SQUAT software, the served SQUAT methodology, and everything we supply through the Service.
The Terms of Service govern the commercial and operational relationship and are incorporated here. On matters of license scope, methodology, and the allocation of responsibility for AI outcomes, this EULA controls. Governing law, venue, and the dispute process are as stated in the Terms §17: Pennsylvania law, with disputes resolved as §17 provides.
2. Definitions
"SQUAT Materials" means the Service software; the MCP server and tool contract; the client plugin and skills; prompts, instructions, and neutral prompt sets; the scoring framework and severity scale; scenario and framework templates; moderator instruments; persona packs and content packs; served method guides; the playbook generator and its templates; the recruiting interview design; compilers, card contracts, and rendering templates; documentation; branding; and all improvements to any of them.
"Methodology" means the SQUAT approach to simulated user-acceptance testing and qualitative panels — the recruit / run / review loop, the actor-evaluator separation, the provenance-excluding runtime compilation, the five-dimension scoring rubric, the S0–S3 severity scale, the three-way app/test/agent failure taxonomy, the panel execution contract, the served method guides, and the longitudinal ledger design.
"Customer Content" has the meaning given in the Terms §5, and includes your mission and goal definitions, the playbooks SQUAT generates for you, and the grounding sources you register.
"Output" means anything a model produces in, for, or through your workspace — persona performances, dialogue, reactions, evaluations, findings, scores, coverage, issues, summaries, research reports, and steward rulings.
"Your AI" means every AI client, model, model provider, agent, local runtime, browser automation, and related service you select, configure, authorize, or pay for and connect to SQUAT. SQUAT is a bring-your-own-agent ("BYOA") service: Your AI does the performing and evaluating, on compute and provider terms you choose.
3. License grant
Subject to your payment, your plan's limits, and your compliance with this EULA, the Terms, and the Acceptable Use Policy, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right, during your subscription term, to use SQUAT for lawful purposes only and specifically to:
- access and use the hosted Service for your own internal and business purposes;
- permit your authorized workspace members, seats, and registered devices to use the Service in accordance with their assigned roles;
- use the served Methodology, frameworks, templates, method guides, moderator instruments, and licensed content inside SQUAT workflows; and
- use your Output as permitted by §8.
Your contractors and agents may use the Service on your behalf through your workspace's seats and roles; you are responsible for their compliance as if their acts were yours.
This EULA covers all use of the SQUAT MCP server and of any components we distribute for use with it (for example, the client plugin and skills), however you connect.
One-time content-pack purchases, if offered, carry pack-specific license, update, and survival terms stated at purchase.
4. License keys, seats, and devices
A license key identifies a workspace, not an individual, and carries the workspace role assigned to it. You must not redistribute a key outside your authorized team; anyone holding an owner credential holds owner authority.
Your plan controls workspace members, automated/agent members, registered devices, and other capacity. A repository or CI project may count as a device where the plan says so. Device registration is deduplicated by the same-actor signature; it is not a licensing loophole and must not be circumvented.
We may deactivate keys, seats, or devices reasonably associated with sharing, abuse, or unauthorized access, subject to the notice terms in the Terms.
5. Restrictions
Except as expressly permitted, you must not:
- sell, rent, lease, sublicense, redistribute, publish, or make SQUAT Materials available as a standalone product or service;
- extract, disclose, reproduce, scrape, or use non-public prompts, neutral prompt sets, methods, method guides, frameworks, templates, rubrics, or served content outside the licensed Service;
- use SQUAT Materials or the Methodology to create or improve a competing methodology, template library, persona pack, evaluation service, benchmarking index, or derivative content catalog;
- use SQUAT Materials or Output to train, fine-tune, distill, or evaluate a model or product that competes with the Service;
- copy, modify, translate, reverse engineer, decompile, disassemble, or circumvent technical or license controls, except to the limited extent applicable law does not permit that restriction;
- remove or obscure ownership, confidentiality, provenance, or license notices;
- bypass plan, seat, device, entitlement, rate, capability, or access controls;
- interfere with audit, provenance, integrity, retention, deletion, or legal-hold controls, or with the hash-chained dialogue ledger;
- share credentials with an unauthorized person; or
- use the Service in violation of the Acceptable Use Policy or applicable law.
6. Ownership of SQUAT Materials
We and our licensors retain all right, title, and interest in SQUAT Materials and the Methodology, including all intellectual property rights. No rights are granted by implication, estoppel, exhaustion, or otherwise.
Being able to see or use the Methodology inside an authorized workflow does not grant a right to redistribute, resell, train on, publish, or reimplement it. The Methodology is licensed for use, never transferred.
7. Open-source and third-party components
Portions of the client plugin or client code may be released under a separate open-source license. That license governs only the code it covers. It does not license the hosted Service, the served Methodology, method guides, content packs, non-public prompts, trademarks, or any other SQUAT Materials.
Third-party software, model services, and integrations are governed by their own licenses and terms.
8. Your content and your Output
As between the parties, you retain your rights in Customer Content, and nothing in this EULA converts Customer Content into SQUAT Materials. Your mission definitions, the playbooks SQUAT generates for you, and the grounding sources you register are Customer Content. The playbook generator, its templates, and the served method guides a playbook draws on remain SQUAT Materials. You grant only the limited service license described in the Terms §5.
You may use your Output for your internal and permitted business purposes, subject to applicable law, your providers' terms, third-party rights, and the restrictions in §5. Ownership of an Output does not transfer ownership of the SQUAT Methodology, prompts, templates, rubrics, method guides, trademarks, or licensed content embedded in or expressed by it.
We make no representation that any Output is original, non-infringing, or protectable, and we do not warrant that model providers grant you any particular rights in what their models generate. Those rights come from your provider, not from us.
Feedback. If you send us feedback — suggestions, ideas, feature requests, or improvement proposals, through any pathway — that feedback becomes our property, and you grant us an unlimited, worldwide, perpetual, irrevocable right to use what we learn from it to improve and operate the product, without obligation or compensation. This covers feedback about SQUAT itself; it does not reach your Customer Content, your workspace, or anything else you did not intentionally submit as feedback.
Before sending feedback, remove anything we should not receive — personal information, confidential material, or anything you are bound to protect. We make commercially reasonable efforts to keep feedback from being exposed, but we cannot guarantee it, so that scrubbing is yours to do.
A general note on AI services. This is true of every commercially provided AI service, not SQUAT specifically: your AI client and model provider operate under their own terms, which govern what they retain, log, and train on. It is worth understanding those terms and, where your data warrants it, using the protections they offer — such as opting out of model training or putting an enterprise agreement in place. Your arrangements with your providers are yours; we are not a party to them.
9. Allocation of responsibility for AI outcomes
This section is the heart of this EULA. Read it carefully.
9.1 Your AI performs; we keep the record
SQUAT does not host, proxy, meter, or perform model inference. Every persona performance, evaluation, score, finding, summary, report, and recommendation is produced by Your AI — a model you selected, configured, authorized, and paid for — acting on instructions your client sends.
What we provide is structure and record: storage, ordering, versioning, role separation, the pinning of a round's cast and instruments, a hash-chained canonical dialogue stream, an audit trail, and a longitudinal ledger. Our integrity properties are properties of the record — that events are ordered and unmodified, that a cited turn exists, that an authorization preceded a deletion. They are not, and must not be read as, warranties about the substance of what the record contains.
9.2 You are responsible for outcomes
You are solely responsible for all outcomes, decisions, actions, omissions, and consequences arising from Output — including any product change you ship, any release you approve or block, any research conclusion you draw, any claim you make to a customer or investor, any deliverable you hand to a client, and any harm that follows.
This is not a formality. It reflects the actual architecture: we cannot see what model you ran, cannot observe your provider's settings, cannot verify that your client isolated the actor and evaluator contexts, and cannot supervise the reasoning that produced any Output.
9.3 The Methodology is not certified and is not fit for any purpose
The SQUAT Methodology is not certified, accredited, validated, peer-reviewed, audited, or guaranteed by anyone. We make no representation, warranty, or guarantee that it is fit, suitable, sufficient, or appropriate for ANY purpose whatsoever — expressly including, without limitation:
- medical, clinical, diagnostic, therapeutic, mental-health, or patient-facing applications;
- legal, regulatory, compliance, or evidentiary applications;
- financial, credit, lending, insurance, actuarial, or investment applications;
- employment, hiring, promotion, worker-management, or educational applications;
- housing, public benefits, or essential-services applications;
- safety-critical, life-critical, aviation, automotive, industrial-control, or emergency applications;
- accessibility certification or conformance attestation of any kind; and
- any other professional, licensed, or regulated activity.
You choose to use this product and this methodology. That choice, and its consequences, are yours.
9.4 Simulation is not human evidence
Personas are AI-performed simulations. This is true whether a persona was compiled from first-person human, documentary, synthetic, combined, or unclassified source material. Source basis describes inputs, not authority.
You must not represent Output as: human testimony; a real person's statement, opinion, or action; research participation or a quotation from a participant; empirical human research; market validation; guaranteed or predicted human behavior; or professional advice.
The hash-chained dialogue ledger provides process- and order-integrity auditability — it detects missing, reordered, or modified stored events. It is not an authenticity claim about the content, and specifically not a claim that any statement in the record came from a human being.
9.5 What we do not and cannot control
We cannot and do not control, verify, supervise, or take responsibility for:
- which model or provider you use, or how it behaves, changes, or is priced;
- whether your client actually isolated the moderator, actor, and evaluator contexts we structurally separated on our side — we compile provenance-excluding role bundles and record which bundle was requested, but we cannot attest to what an external model host did with them;
- whether you or your coordinator merged, edited, or re-prompted responses;
- your provider's retention, training, regional, or logging settings;
- the accuracy, bias, safety, or legality of anything a model generates; or
- the systems, sites, or accounts you direct an agent to access.
9.6 Use at your own risk
Use of the Service, the Methodology, and all Output is entirely at your own risk. The disclaimers in Terms §12, the exclusion of liability in Terms §15, and the indemnity in Terms §16 apply to everything in this section and are incorporated here in full.
10. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SQUAT MATERIALS, THE METHODOLOGY, AND ALL OUTPUT ARE LICENSED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, AND OTHERWISE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
11. Updates and changes
We may update the Service, SQUAT Materials, and the Methodology. Updates may change functionality, model compatibility, prompts, rubrics, or Output, and may change results between rounds.
Content-pack updates preserve historical version references and do not overwrite your adaptations without your approval. Rounds pin the exact versions of the project, squad, personas, scenarios, and frameworks they used, so an update does not retroactively alter a recorded round.
12. Term and termination
This EULA runs while you have an active right to the relevant Service or content, unless a pack-specific license says otherwise. It terminates automatically on termination of the Terms, and we may terminate it on your material breach of §5.
On termination, your ordinary right to use SQUAT Materials ends. During an applicable workspace offboarding period under Terms §10, a limited right remains solely to access and export your Customer Content through the authorized read-only workflow. It does not authorize new research, new content generation, or extraction or redistribution of SQUAT Materials. §§2, 5, 6, 8, 9, 10, and 12–13 survive.
Retiring a persona or project because capacity was reduced does not delete the associated historical work or rewrite its pinned versions. Existing history retains its creation-plan window and any subsequently granted upgrade extension; a later downgrade does not shorten it. New work uses its creation-plan entitlement. Explicit deletion and whole-workspace offboarding remain separate actions under Terms §10.
Archived data is retained outside normal active operations, including where retention rules or legal holds require preservation; purged data is deleted. Neither archival preservation nor a new pack purchase automatically restores access. Workspace purchase-based restoration is limited to eligible retired workspaces during grace and excludes archived/deleted workspaces. These lifecycle rules do not expand licenses for separately purchased content packs or SQUAT Materials.
13. General
Governing law, venue, dispute process, notices, assignment, force majeure, export controls, severability, waiver, and entire-agreement terms are as stated in the Terms of Service §§17–18 and apply to this EULA.
U.S. Government end users. SQUAT Materials are "commercial computer software" and "commercial computer software documentation" under FAR 12.212 and DFARS 227.7202. Government use, duplication, and disclosure are subject only to the terms of this EULA.
